The Serbian Business Register Agency published the notice on its official website that starting from 2 April 2024, a new method for registration of changes in share capital will begin to apply.
The new method of registration of changes in share capital means that all increases or decreases of share capital will be registered as a single total amount of capital after the change.
In other words, this means that if multiple individual payments are registered in the company in which you want to register a capital increase, the registrar will, when making a decision, delete all those individual payments and register only one, which will represent the sum of all the previously registered and new payments.
The same rule will be applied in the case of:
- capital decrease, so the registrar will delete all registered payments and enter the difference between the existing capital and the amount of decreased share capital as the new share capital amount;
- registration of members’ contributions (whether they are single-member or multi-member companies) and will apply to both monetary and non-monetary capital/shares.
All existing dates of payment/entry of the share capital will be deleted, and the date of the registrar’s resolution on decrease, i.e. decrease of share capital will be registered as the date of payment/entry of the share capital, in accordance with the rules of the Company Law, which stipulate that the share capital will be considered increased or decreased on the day of registration of such change in the Register of Business Entities.
The goal of the mentioned changes is to simplify the overview of the share capital and members’ contributions and to introduce more efficient monitoring of mentioned changes.
